These Terms & Conditions (“Terms”) govern your access to and use of the website located at kovtechnologies.com (the “Site”) and any services described on it (collectively, the “Services”), operated by KOV Enterprises LLP and its affiliates, trading as KOV Technologies (“KOV,” “we,” “us,” or “our”).

By accessing or using the Site, submitting an inquiry, or engaging KOV for Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our Services. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

KOV Technologies is a technology partner providing IT hardware procurement, software licensing, enterprise platform services (including SAP, Oracle, Workday, Salesforce, Microsoft Dynamics, ServiceNow, and Shopify), and vendor-agnostic services such as cybersecurity, managed IT, infrastructure, advisory, application development, and IT staffing.

The Site provides general information about KOV's offerings. It is not, by itself, an offer to contract, and no binding agreement for Services is formed solely through your use of the Site.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Site or engage our Services. By using the Site, you represent that you meet this requirement.

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Interfere with or disrupt the Site, its servers, or connected networks
• Attempt to gain unauthorized access to any part of the Site or related systems
• Use automated means (bots, scrapers, crawlers) to access or extract content without our prior written consent
• Upload or transmit viruses, malware, or other harmful code
• Misrepresent your identity or affiliation, or impersonate any person or entity
• Use the Site to transmit unsolicited advertising, spam, or unlawful content

All content on the Site — including text, graphics, logos, the KOV name and marks, illustrations, page layouts, and underlying code — is owned by or licensed to KOV and is protected by applicable intellectual property laws. Nothing on the Site grants you any license or right to use KOV's trademarks, logos, or brand assets without our prior written permission.

You may view, download, and print content from the Site solely for your own personal or internal business reference, provided you retain all copyright and proprietary notices. Any other use — including reproduction, distribution, modification, or creation of derivative works — requires our prior written consent.

Any deliverables, work product, or custom development produced by KOV under a separate signed statement of work or services agreement will be governed by the intellectual property terms set out in that agreement, which take precedence over this section in the event of a conflict.

Descriptions of hardware, software, platforms, and services on the Site are provided for general informational purposes and do not constitute a binding offer, quotation, or guarantee of availability, pricing, specifications, or delivery timelines.

Any specific engagement — including hardware procurement, software licensing, platform implementation, staffing, or managed services — is governed by a separate written proposal, quotation, purchase order, statement of work, or master services agreement signed by both parties (an “Order”). In the event of any conflict between these Terms and an executed Order, the Order will govern with respect to that specific engagement.

Pricing, availability, and specifications for third-party hardware and software are subject to change and to the terms of the underlying manufacturer, publisher, or licensor. KOV acts as a reseller, integrator, or service provider with respect to third-party products and does not guarantee terms set independently by those third parties.

Unless otherwise agreed in an Order, invoices are due within the payment terms specified in that Order. KOV reserves the right to suspend Services for accounts with overdue balances, subject to any notice requirements in the applicable Order.

All fees are exclusive of applicable taxes, duties, and levies unless stated otherwise. You are responsible for any such taxes, other than taxes on KOV's net income.

In the course of an engagement, either party may disclose confidential or proprietary information to the other. Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not less than a reasonable degree of care, and to use such information only for the purposes of the engagement.

This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party without an obligation of confidentiality, or is independently developed without reference to the disclosing party's confidential information.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Specific warranties applicable to Services, hardware, or software are set out exclusively in the applicable Order or in the relevant manufacturer's or publisher's warranty terms.

TO THE FULLEST EXTENT PERMITTED BY LAW, KOV AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Where liability cannot be excluded by law, KOV's aggregate liability arising from or related to the Site will not exceed the greater of (a) the amount you paid to KOV for the Services giving rise to the claim in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100). Liability arising from a specific Order will instead be governed by the limitation of liability terms in that Order.

You agree to indemnify and hold KOV, its officers, employees, and affiliates harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any rights of a third party.

The Site may contain links to third-party websites or reference third-party products and platforms (such as SAP, Oracle, Workday, Salesforce, Microsoft, ServiceNow, and Shopify). KOV does not control and is not responsible for the content, policies, or practices of any third-party site or service. Any references to third-party trademarks are for identification purposes only and do not imply endorsement or affiliation unless expressly stated.

We may suspend or restrict your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, KOV, or third parties. Termination or expiration of a specific Order will be governed by the terms of that Order.

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to any dispute resolution provisions in a specific Order, the courts of Pune, Maharashtra, India will have exclusive jurisdiction over disputes arising from or relating to these Terms and your use of the Site.

Where an Order specifies a different governing law or forum for a particular engagement, the terms of that Order will govern with respect to that engagement.

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. The “Effective” date at the top of this page indicates when these Terms were last revised. Continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.
